Terms of Service

By accessing or using the Ethernexion website and related online services (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Services.

When you register for an account or continue to an identity provider registration flow, you also confirm that you have read and accept our Privacy Policy.

We may update these Terms from time to time. The effective version is the one published on this page with its version number and effective date. Material changes may require renewed acceptance where applicable.

Site means the public marketing website operated by Ethernexion. Services means the Site, authenticated portals (including partner and support areas), product information, documentation downloads made available through your account tier, and related online tools we provide.

Account means credentials issued through our identity provider (for example Keycloak SSO). User Content means information you submit through forms, support cases, partner applications, inquiries, or other interactive features.

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at business@ethernexion.com if you suspect unauthorized access.

You agree not to misuse the Services. Without limitation, you must not:

• Access areas or documents without authorization or attempt to bypass access controls, including download tiers or role-based restrictions;
• Probe, scan, or test vulnerabilities, or overload systems with automated requests except as we expressly permit;
• Upload malware, interfere with other users, or impersonate any person or entity;
• Use the Services for unlawful purposes or in violation of applicable export, sanctions, or trade control laws;
• Scrape or harvest data from the Services except as allowed by robots directives or written permission from us.

The Site, product descriptions, documentation, logos, trademarks, software interfaces, and other materials are owned by Ethernexion or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for their intended business purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works except as permitted by law or separate written agreement.

Product specifications, datasheets, firmware, and other materials are provided for informational purposes. They may change without notice. Availability on the Site does not constitute an offer to sell where prohibited by law.

Downloads available through your account are licensed for your internal evaluation, deployment, or support of Ethernexion products as permitted by your tier and any separate license terms. You may not redistribute restricted materials to third parties without our written consent.

Partner portal features, resource libraries, and product inquiry tools are available to approved partners according to program tier and directory records. Application information must be accurate and kept up to date.

We may approve, deny, suspend, or terminate partner access at our discretion. Partner participation does not create an agency, employment, or joint venture relationship. Separate commercial agreements may govern distribution or resale where applicable.

Support and RMA portals allow you to submit cases, attachments, and follow-up information. You must not upload unlawful, offensive, or malicious content. Sensitive attachments may be restricted by role; attempting to access another party's cases or files is prohibited.

Response times and resolution outcomes described on the Site are targets only unless expressly covered by a separate support agreement. Nothing in these Terms limits mandatory consumer rights that cannot be waived by contract.

By submitting User Content through the Services, you grant us a non-exclusive license to use, store, process, and display that content as needed to operate the Services, respond to you, and improve our products and programs.

If you provide feedback or suggestions, we may use them without obligation or compensation to you, except where prohibited by law.

The Services may integrate with or link to third-party services (including identity providers, community forums, or external websites). Those services are governed by their own terms and privacy practices. We are not responsible for third-party content or availability.

THE SERVICES AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Information on the Site does not replace professional engineering, legal, or compliance advice for your specific deployment.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETHERNEXION AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THAT PERIOD, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

You agree to indemnify and hold harmless Ethernexion and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Services, your User Content, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

We may suspend or terminate access to the Services, in whole or in part, if we reasonably believe you have violated these Terms or pose a security risk. You may stop using the Services at any time.

Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Singapore for disputes arising from these Terms or the Services, subject to mandatory consumer protections in your jurisdiction where applicable.
